Yanson firms hold ASMs

MANILA, Philippines — Two more Yanson-owned companies held their respective annual stockholders’ meetings on Monday.

These are the Yanson Realty Development Corp. and RB Yanson Resources Phils. Inc, part of the Bacolod-headquartered bus conglomerate owned by the Yanson family.

Yanson Realty held its ASM in Seda Hotel, Bacolod City presided by Eduardo de Mesa Jr. as proxy for Emily Yanson, its president and chairman.

Stockholders representing 66.67 percent of the outstanding capital stock of the corporation attended the meeting and voted siblings Roy, Emily, Ma. Lourdes Celina and Ricardo Yanson, as well as Jerina Louise Ramos and Matthew Agustine Lopez as members of the board of directors of the corporation for the year 2021 to 2022.

The majority shareholders also ratified all acts and transactions of the board of directors and management of the corporation under the leadership of its president Emily Yanson.

In the organizational meeting that followed, the newly elected directors likewise elected Emily Yanson as chairman of the board and president, Ma. Lourdes Celina  Lopez as VP for operations, Roy Yanson as treasurer and CFO Ricardo Yanson Jr. as corporate secretary, Anna Isabel Galvez as assistant corporate secretary and Carlo Joaquin Narvasa as VP for Legal.

At the RB Yanson Resources meeting, De Mesa likewise presided as proxy for Emily Yanson, the company’s president and chairman of the board.

Stockholders representing 66.67 percent of the outstanding capital stock of the corporation, attended and elected the new board of directors.

Newly elected are Yanson siblings Roy, Emily, Ma. Lourdes Celina and Ricardo Yanson Jr.

Stockholders also elected Jerina Louise Ramos and Matthew Agustine Lopez anew to the board for the year 2021 to 2022.

The shareholders ratified all acts and transactions of the board of directors and management of the corporation under Emily’s leadership.

For both companies, the new directors vowed to continue court actions “to unravel minority shareholders’ activities and their pretense to act on behalf of the company despite the absence of any legal basis for them to do so.”

The Yanson family of Bacolod, owner of Asia’s biggest bus conglomerate Vallacar Transit Inc. is currently divided into two groups due to an ownership squabble.

One group, consisting of Yanson siblings Roy, Emily, Ricardo and Ma. Lourdes Celina Yanson is known as the Yanson Four and they claim to have majority ownership.

The other group, called the Yanson T wo, is composed of siblings Leo Rey and Ginette, together with their mother, family matriarch Olivia Yanson.
