Wack Wack Golf and Country Club president Alfredo Masigan yesterday said the club manage-ment never refused or denied anyone of his right to inspect the corporate records of the club.
Masigan furnished The Star a copy of a letter to the club members last Jan. 7 in reaction to reports about a suit filed by a disgruntled club member against three club officials for their alleged denial to a request to inspect the corporate records of the club.
"There have been many unfounded and baseless statements, including some press releases, relative to the request of one of our members, Mr. Basilio Manalo, to inspect the books and records of the club," said Masigan.
Masigan clarified that Manalo and his representatives were able to inspect and photocopy the minutes of the meetings of the board of directors and the minutes of annual meetings of the club covering the years 1996-98.
Masigan also said Manalo was furnished copies of all the contracts of the projects entered into by the club.
On another occasion, the club president said the board might not have furnished Manalo technical information right away since the club first wanted to be clarified on the purpose of the inspections.
"While the club recognizes the right of every member to legitimately inspect its corporate record, the club is within its right to first determine whether the reason for inspection is legitimate and is for a valid purpose. Otherwise, the club and its officers may be accused of being remiss in performing its duty of protecting the integrity of the club's interest and credibility," said Masigan.
Manalo filed P2 million suit against Masigan, corporate secretary Gabriel Villareal and treasurer Frederic Chan with the Securities and Exchange Com-mission alleging he was unjustly denied his right to inspection.
